Terms of Service & Refund Policy

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Webduo ("Company," "we," "us," or "our"), founded by Rohit Jangra and based in Surat, Gujarat, India.

By accessing our website (webduo.co), requesting a project quotation, issuing a purchase order, or executing a service agreement with Webduo, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Scope of Digital Services

Webduo provides custom digital engineering and growth solutions, including but not limited to:

• Web Development: Custom UI/UX design, frontend engineering, backend integrations, e-commerce storefronts, and web portals.
• Mobile App & Software Engineering: Cross-platform mobile applications, ERP/CRM software, and cloud systems.
• SEO & Content Optimization: Technical audits, on-page optimization, content strategy, and keyword ranking growth.
• Performance Marketing: Paid search & social campaigns across Google Ads, Meta Ads (Facebook & Instagram), and conversion rate optimization (CRO).

Each project's specific deliverables, timelines, and payment terms are detailed in the official project proposal or statement of work (SOW) provided prior to project kickoff.

3. Payment Terms & Invoicing

• Deposit & Milestones: Unless otherwise specified in an SOW, fixed-scope projects require an advance deposit (typically 50%) prior to project kickoff, with remaining balances due upon milestone delivery or final project approval prior to server migration/deployment.
• Retainer Billing: Ongoing monthly marketing, SEO, or maintenance retainers are invoiced in advance at the start of each billing cycle.
• Overdue Accounts: Payments not received within 7 business days of the invoice due date may result in temporary suspension of project work, ad campaign pausing, or delayed server deployment until cleared.

4. Cancellation Policy

We understand that business priorities can evolve. Webduo maintains a fair and structured Cancellation Policy:

• Client-Initiated Cancellation: A client may request project cancellation at any time by sending a formal written request to contact@webduo.in.
• Work Completed Billability: Upon receipt of a cancellation notice, work on the project will cease immediately. The client will be billed for all completed work hours, wireframes, designs, or code commits delivered up to the exact date of cancellation.
• Monthly Retainer Cancellation: For ongoing monthly SEO, social media management, or paid ad management retainers, clients must provide a 14-day written notice prior to the upcoming billing cycle to cancel recurring invoices.
• Cancellation by Webduo: Webduo reserves the right to terminate an agreement if the client fails to provide necessary project assets, feedback, or milestone payments for a continuous period exceeding 30 calendar days.

5. Refund Policy

Webduo strives to deliver exceptional quality and client satisfaction across all projects. Our refund terms are outlined below:

A. Full Refund Eligibility

You are eligible for a 100% full refund of initial project deposits if Webduo fails to commence project execution or discovery within the mutually agreed timeframe, or if we cancel the agreement prior to starting any work due to internal resource constraints.

B. Partial Refund Eligibility

If a cancellation request is submitted after the initial discovery or wireframing stage but before custom code development or final design approval begins, a partial refund will be granted. The non-refundable portion will cover allocated strategy hours, project manager time, and design concept preparation.

C. Non-Refundable Items

• Completed Deliverables: Fees for completed milestones, approved website designs, or deployed application code are strictly non-refundable.
• Third-Party Costs: Expenditures incurred on your behalf—such as domain name registrations, SSL certificates, premium software plugin licenses, or cloud hosting—are non-refundable.
• Direct Ad Spend: Advertising budgets disbursed directly to ad platforms (Google Ads, Meta Ads) are paid to third parties and cannot be refunded by Webduo.
• Search Engine Rankings & Outcomes: SEO performance is influenced by search engine algorithms (Google, Bing) and competitive market factors beyond agency control. While we utilize industry-best practices, specific search engine ranking positions are not guaranteed for full or partial refunds.

D. Refund Processing Time

Approved refunds will be processed via direct bank transfer or the original payment channel within 7 to 10 business days following formal refund approval.

6. Intellectual Property & Source Code Ownership

Upon receipt of 100% full payment for completed work, Webduo grants the client complete ownership rights to final website source code, design assets, and custom media produced for the project. Webduo retains the right to display completed, publicly launched projects in our online agency portfolio and case studies unless an explicit Non-Disclosure Agreement (NDA) states otherwise.

7. Limitation of Liability

Webduo shall not be liable for any indirect, incidental, special, or consequential damages—including loss of profits, business interruption, or data corruption—arising out of third-party hosting server downtime, unauthorized website modifications made by client staff, or external cyber incidents beyond our reasonable control.

8. Governing Law & Legal Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
